Amended and Restated Bylaws of Friends of O'Farrell, Inc.

A California Nonprofit Public Benefit Corporation · Adopted March 8, 2021

The Bylaws are the ultimate governing legal document for the Corporation. All activities and affairs of the Corporation are conducted, and all corporate powers are exercised, under the direction of the Board and subject to the limitations set forth in these Bylaws.

Article I

Name and Principal Office

The corporation is named "Friends of O'Farrell, Inc." The principal office is located at 6130 Skyline Drive, San Diego, California 92114.

Article II

Mission and Purpose

The Corporation is organized and operated exclusively for charitable and educational purposes. Its mission is to encourage and support, through volunteerism and financial contributions, the quality academic and social education for The O'Farrell Charter School students.

Article III

Board of Trustees

The Board of Trustees must consist of not less than three, nor more than fifteen, Trustees. All Trustees have full voting rights. The number of Trustees who also serve as a director, officer, or employee of The O'Farrell Charter School must at all times be a minority.

Article IV

Officers

The Corporation shall have a President (Chair of the Board), a Treasurer (Chief Financial Officer), and a Secretary. Officers are elected by the Board and serve at the pleasure of the Board.

Article V

Meetings

The Board shall hold regular meetings as determined by the Board. Special meetings may be called by the President or by a majority of the Board. Notice of meetings shall be provided as required by the Bylaws.

Article VI

Financial Management

The Treasurer supervises the charge and custody of all funds, oversees deposits, maintains accurate accounts, and renders financial reports as required. All check requests require multiple levels of review: Principal → Treasurer → Chair.

Article VII

Amendments

These Bylaws may be amended by a vote of the Board of Trustees at any regular or special meeting, provided that notice of the proposed amendment has been given to all Trustees in advance of the meeting.
